How Looming Gov't Shutdown Could Put IPO Recovery on Ice

Brian Rosenzweig contributed his analysis to a Law360 article on how a government shutdown could negatively affect the recovery of initial public offering (IPO) markets. The article explores how companies would feel timetable pressure to conduct an IPO marketing event known as a roadshow and gain regulatory clearance on a fairly tight schedule.

Brian said one group of IPO prospects monitoring developments are domestic companies that want to go public based on their second-quarter financial statements. These companies must complete an IPO by a November 14th deadline, or their filings will be considered stale and will require updating. "Anyone who's looking to get a roadshow completed and have the SEC declare their registration statement effective, so you can price a deal before November 14, is certainly following this shutdown very closely," he said.
